Terms of Service

These Terms of Service (“Terms”) are an agreement between Sylus Labs Limited (“Sylus”, “we”, “us” or “our”), a company registered in Abu Dhabi Global Market (ADGM), Abu Dhabi, United Arab Emirates, and the organization that uses our services (the “Customer” or “you”). They govern your use of sylus.ai, the Sylus platform, and Sylus inside ChatGPT and Claude (together, the “Services”).

By creating an account, signing an order or using the Services, you agree to these Terms. If you accept them on behalf of an organization, you confirm that you have authority to bind it. If your organization has signed a separate written agreement with Sylus for the Services, such as a master services agreement, that agreement applies instead of these Terms.

1. The Services

Sylus is an AI data analyst for businesses. It connects to the business systems you choose and lets your authorized users ask questions about your data in plain English and get answers, reports and dashboards. We may improve, change or add features over time, but we will not materially reduce the core functionality of a paid plan during its term.

2. Business use and accounts

The Services are for business use only. Users must be at least 18 and use Sylus on behalf of an organization.
You are responsible for your users, for their compliance with these Terms, for keeping login credentials secure, and for all activity under your accounts. Your workspace admins control who can use Sylus and what data each person can see.
Tell us promptly at privacy@sylus.ai if you suspect unauthorized access to your account.

3. Customer Data

Ownership. “Customer Data” means the data from the systems you connect to Sylus, and the questions, answers, reports and dashboards created from it. You own your Customer Data.
Our use. You allow Sylus to access and process Customer Data only to provide, secure and support the Services, as described in our Privacy Policy. We do not use Customer Data to train AI models, and we do not sell it.
Your responsibilities. You are responsible for having the rights, notices and consents needed to connect your data sources and to let Sylus process the data in them.
Personal data. Where Customer Data includes personal data, we process it on your behalf as your processor, under our Privacy Policy and any data processing agreement between us.

4. AI-generated output

Answers, reports and other output are generated using AI and may be incomplete or inaccurate. Every answer shows the SQL query behind it. You are responsible for reviewing output before relying on it, especially for financial, legal, employment or other important decisions.
Output is not financial, legal, tax or other professional advice.
As between you and Sylus, you own the output generated from your Customer Data.

5. Sylus in ChatGPT and Claude

Sylus offers a plugin for ChatGPT, made by OpenAI, and a connector for Claude, made by Anthropic. You connect them by signing in to your Sylus account and approving access. They are read-only and follow the permissions set in your Sylus workspace.
ChatGPT and Claude are third-party services. Your use of them is governed by the terms and policies of OpenAI and Anthropic, and we are not responsible for them. When you use the integrations, the answers Sylus returns are sent to the service you are using.
The integrations depend on OpenAI and Anthropic. We may change or discontinue them if those platforms change their products or requirements.
Do not use the integrations to process payment card data or protected health information.

6. Third-party services

Sylus works with third-party products you choose to connect, such as CRM, ERP, accounting and data warehouse tools, and Slack. Your use of them is governed by your agreements with their providers. We are not responsible for third-party services, their availability, or changes to their APIs that affect Sylus.

7. Acceptable use

You must not, and must not allow anyone else to:

use the Services in breach of any law or regulation, including sanctions and export control laws;
connect or upload data you do not have the right to use, or content that is malicious or infringes anyone’s rights;
access data or features beyond the permissions you have been given, or bypass security measures or usage limits;
probe, scan or test the security of the Services without our written permission (please report vulnerabilities to privacy@sylus.ai);
copy, modify, reverse engineer or resell the Services, or use them to build a competing product; or
interfere with or overload the Services.

We may suspend access where needed to prevent harm, address a security risk or stop a breach of these Terms. Where we can, we will tell you first, and we will restore access once the issue is resolved.

8. Fees and payment

Fees, plan limits and billing terms are set out in your order or plan. Fees are based on the number and types of data sources you connect.
Unless your order says otherwise, fees are non-cancellable and non-refundable, except where required by law, and exclude taxes such as VAT, which you are responsible for.
If fees are overdue, we may suspend the Services after giving you notice.
Free trials and beta features are provided as they are and may be changed or ended at any time.

9. Confidentiality

Each party will keep the other’s non-public business, technical and financial information confidential, use it only to perform under these Terms, and protect it with at least reasonable care. This does not apply to information that is public, already known to the receiving party, independently developed, lawfully received from someone else, or required to be disclosed by law (with notice to the other party where the law allows).

10. Intellectual property

Sylus and its licensors own the Services and all related software and intellectual property. These Terms do not transfer ownership of anything. Subject to these Terms, we give you a non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription. If you send us feedback or suggestions, we may use them without any obligation to you.

11. Term, suspension and termination

These Terms apply for as long as you use the Services. Subscriptions run for the term in your order and renew as stated there.
Either party may terminate if the other materially breaches these Terms and does not fix the breach within 30 days of written notice.
You can stop using the Services and close your account at any time. Fees already due remain payable.
When your account closes, your access ends. You can export your data before then. We delete Customer Data within 30 days after your account is closed, as described in our Privacy Policy.
Sections that by their nature should continue after termination, including fees owed, confidentiality, disclaimers, limitation of liability, indemnity and governing law, will continue to apply.

12. Disclaimers

Except as expressly stated in these Terms, the Services and all output are provided “as is” and “as available”. To the fullest extent permitted by law, Sylus disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not guarantee that the Services will be uninterrupted or error-free, or that output will be accurate.

13. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business or data, even if it was advised that such damages were possible.
Each party’s total liability arising out of or relating to these Terms or the Services is limited to the fees you paid to Sylus for the Services in the 12 months before the event giving rise to the claim.
These limits do not apply to your obligation to pay fees, your obligations under section 14, or any liability that cannot be limited by law, such as liability for fraud.

14. Indemnity

You will defend Sylus against any third-party claim arising from your Customer Data, your use of the Services in breach of these Terms or the law, or third-party services you connect, and you will pay any resulting damages and reasonable costs. This applies as long as we notify you promptly of the claim, let you control its defense and settlement, and give you reasonable help.

15. Governing law and disputes

These Terms and any dispute arising out of or in connection with them or the Services are governed by the laws of the Abu Dhabi Global Market. Before starting court proceedings, both parties will try in good faith to resolve the dispute informally for 30 days. The courts of the Abu Dhabi Global Market have exclusive jurisdiction, but either party may seek urgent injunctive relief in any competent court.

16. Changes to these Terms

We may update these Terms from time to time. We will change the “Last updated” date above and, for material changes, give customers reasonable advance notice by email or in the product. If you continue to use the Services after the changes take effect, you accept the updated Terms.

17. General

Entire agreement. These Terms, your order and our Privacy Policy are the entire agreement between us about the Services. If your order conflicts with these Terms, the order applies.
Assignment. Neither party may transfer these Terms without the other’s consent, except to a successor in a merger, acquisition or sale of all or most of its assets.
Force majeure. Neither party is responsible for delays or failures caused by events beyond its reasonable control, other than payment obligations.
Notices. We will send notices to the email address on your account. Send notices to Sylus at privacy@sylus.ai.
Other terms. If any part of these Terms is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it. The parties are independent contractors, and these Terms do not create rights for anyone else. The English version of these Terms prevails.
